Terms of Service

These Terms of Service ("Terms") govern access to and use of MOKHA FILM ("MOKHA FILM," "we," "us," or "our"), including the website mokhafilm.com, streaming services, subscriber accounts, and Creator Studio (collectively, the "Platform").

By accessing the Platform, creating an account, subscribing, uploading content, or clicking "I agree," you enter a binding agreement with MOKHA FILM. If you do not agree, do not use the Platform.

These Terms incorporate by reference our Privacy Policy, Cookie Policy, and Creator Guidelines. Capitalized terms not defined here have the meanings given in those policies or on the Platform.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and subscribe, unless local law requires a higher age for paid digital services.

You agree to provide accurate registration information and keep it updated. You are responsible for all activity under your credentials. Do not share passwords or circumvent device/stream limits described in your plan.

We may suspend or terminate accounts for violations, fraud, chargebacks, or legal requirements. You may close your account by contacting support@mokhafilm.com; some data may be retained as described in our Privacy Policy.

MOKHA FILM is a subscription streaming platform for independent films and series. Features may include catalog browsing, search, Continue Watching, My List, multi-profile support (where enabled), creator uploads, Partner Program monetization, promotional previews, and TVOD/gifts where offered.

We may add, modify, or remove features, titles, or pricing with notice where required. The Platform is provided digitally; no physical goods are shipped unless explicitly stated.

Paid plans are displayed on our Subscribe page (currently $9.00/month or $99.99/year, subject to change). By subscribing you authorize recurring charges through our payment processor (Stripe) until you cancel.

Billing cycles renew automatically. You may cancel anytime; access continues until the end of the paid period unless otherwise stated. Price changes apply to future billing periods with notice where required by law.

Refunds are handled consistent with applicable consumer laws and our discretion for service failures. EU/UK consumers may have statutory withdrawal rights for digital services—contact support@mokhafilm.com before waiving those rights where prompts appear at checkout.

Taxes may apply based on your location. Failed payments may result in suspension until resolved.

You agree not to: • Share account credentials or exceed device/concurrent stream limits • Circumvent DRM, signed URLs, watermarks, geo-restrictions, or playback protection • Record, rip, redistribute, or publicly perform streams except as allowed by law • Use bots, scrapers, or automated tools to access the catalog or APIs • Harass other users, submit unlawful content via forms, or attack Platform infrastructure • Misrepresent your location or identity to evade restrictions or taxes

We may monitor usage patterns to enforce these rules and protect creators' rights.

To protect licensed and creator-owned works, we may use technical measures including short-lived signed stream URLs, device/session limits, optional forensic watermarks (viewer email/session overlay), player hardening (right-click blocking where enabled), Picture-in-Picture restrictions, and rate limits on playback tokens.

These measures deter casual copying but cannot prevent all capture methods (e.g., external cameras or OS-level recording). You agree not to disable, bypass, or interfere with these protections.

Details of security settings may change; material impacts are described in admin-configured system settings and our Privacy Policy.

The Platform, including its software, design, trademarks, logos, and curated catalog presentation (excluding creator/user content), is owned by MOKHA FILM or its licensors. You receive a limited, non-exclusive, non-transferable license to access the Platform for personal, non-commercial streaming in accordance with these Terms.

You may not copy, modify, reverse engineer, or create derivative works of the Platform except as permitted by law.

Creators retain ownership of their intellectual property. By uploading content you represent and warrant that: • You own or control all necessary rights (including music, likeness, and third-party assets) • Your content complies with applicable law and our Creator Guidelines • You have obtained required releases, licenses, and age-verification for performers where applicable • AI-generated or AI-assisted works are labeled accurately at upload

You grant MOKHA FILM a non-exclusive, worldwide, royalty-bearing license to host, encode, transcode, stream, promote, display metadata/posters/trailers, and distribute the work to subscribers during its publication period on the Platform. This license ends when content is removed from publication, except for reasonable backup/archival copies and records required by law or revenue audits.

All uploads must follow our Creator Guidelines and this Section.

Prohibited content includes (non-exhaustive): illegal material; non-consensual sexual content; content exploiting minors; malware; spam; deceptive metadata; hate or harassment primarily targeting protected groups; instructions for serious harm; and content that infringes third-party intellectual property.

Technical requirements: stable video/audio, accurate runtime, honest content ratings, required poster art, and declared AI involvement. Uploads may be up to platform size limits (currently up to 15 GB video / 11 MB poster per admin configuration).

By uploading you confirm acceptance of moderation, takedown procedures, and revenue terms. Upload forms require explicit acceptance of guidelines and Partner Program terms where applicable.

All creator submissions undergo human review before publication. We may approve, reject, or request revisions at our sole discretion. Reasons may include quality, legal risk, metadata accuracy, rights concerns, or community standards.

We may unpublish or geo-restrict content after publication if issues arise. Repeated violations may lead to Partner Program removal.

If you believe content on the Platform infringes your copyright, see Section 11 (DMCA).

Approved creator films and series earn 70% of the creator-attributed viewer subscription pool, based on qualified subscriber watch time. Partner-program creator Heli/yearly fees are separate platform revenue. Platform catalog (MOKHA uploads and embedded titles) is calculated separately and does not reduce creator earnings.

Revenue share on qualifying creator content: 70% to creator / 30% platform fee (creator content only) (70% to creator / 30% platform fee). Calculations use qualified subscriber watch time during each calendar month. Platform-owned catalog and embedded titles are accounted separately and do not reduce creator pools.

Requirements include: active eligible subscription where applicable, completed verification, acceptance of Partner terms, Stripe Connect onboarding for payouts, and compliance with content standards.

Payout timing, minimum thresholds, tax forms, and chargeback adjustments are communicated in Creator Studio and payout notices. We do not guarantee any minimum earnings.

Full program requirements:

• Active yearly subscription while you create and earn.

• You own or have licensed all rights to the content you upload.

• Content must meet MOKHA FILM quality and community standards.

• All films pass manual review before publishing.

• Revenue uses qualified subscriber watch time only (logged-in subscribers).

Creators must declare whether each title is human-original, AI-assisted, or AI-generated. False labeling may result in rejection or removal. Viewers may see badges and filter catalog results based on AI involvement.

We may update labels after review if metadata is misleading.

MOKHA FILM respects intellectual property rights. If you believe content on the Platform infringes your copyright, send a notice including: • Identification of the copyrighted work • Identification of the infringing material (URL/title) • Your contact information • A statement of good-faith belief • A statement under penalty of perjury that your notice is accurate and you are authorized to act • Your physical or electronic signature

Send notices to support@mokhafilm.com with subject "DMCA Notice." We may remove or disable access to alleged infringing material and terminate repeat infringers consistent with the U.S. DMCA.

Counter-notices may be submitted as permitted by law if you believe material was removed in error.

The Platform integrates third-party services (payment, video hosting, analytics, OAuth login, email). Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party websites linked from the Platform.

Social login (Google/Facebook) is optional and governed by the provider's policies in addition to ours.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOKHA FILM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free service, specific catalog availability, or any particular creator earnings. Streaming quality depends on your device, network, and third-party infrastructure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOKHA FILM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO MOKHA FILM IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW (INCLUDING FRAUD OR WILLFUL MISCONDUCT).

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.

You agree to defend, indemnify, and hold harmless MOKHA FILM from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your violation of these Terms, or your violation of third-party rights.

We may suspend or terminate access immediately for breach, fraud, legal requirements, or extended inactivity where permitted.

Creators may delete unpublished drafts. Published titles may be unpublished by admin action; removal from the catalog does not automatically delete backup copies held for legal, security, or audit purposes as described in our Privacy Policy.

Sections that by nature should survive (payment obligations, licenses for past distribution, disclaimers, liability limits, dispute resolution) survive termination.

These Terms are governed by the laws of the jurisdiction where MOKHA FILM is established, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence apply.

Before formal proceedings, contact support@mokhafilm.com to attempt informal resolution.

Where permitted, you agree that disputes will be resolved in the courts of our principal place of business, unless applicable law grants you the right to bring claims in your local courts (e.g., EU consumer jurisdiction rules).

Nothing in these Terms limits rights that cannot be waived under consumer protection laws.

We may update these Terms. Material changes will be posted with a new effective date and, where required, notified by email or in-product notice before they take effect. Continued use after the effective date constitutes acceptance unless prohibited by law.

Creator revenue terms may change with advance notice; continued participation after notice constitutes acceptance of updated Partner Program terms.
